Senior Assistant Company Secretary Job Description

This role in a global FTSE100 retailer is crucial to ensuring the effective functioning of the company secretarial team. You will be supporting a growing team in a fast paced, entrepreneurial organisation. The role is wide and varied, with plenty of opportunities for development. 
Reporting to the Deputy Company Secretary, you will be part of a growing team covering a variety of company secretarial responsibilities. This will suit an ambitious, capable and hardworking candidate who is keen to enhance governance & compliance processes within the Group. 
This is a hybrid role based in Bury, Manchester. 


Accountabilities:


•    Working with the Deputy Company Secretary to manage end-to-end board and committee process, such as drafting agendas, assisting with the creation of board papers and uploading papers to our board portal
•    Managing UK & international subsidiaries and ensuring compliance with the global governance framework 
•    Managing day to day Market Abuse Regulation compliance including maintenance of insider and confidentiality lists and monitoring training
•    Supporting with the Annual Report & Accounts, including drafting & reviewing content, and liaising with auditors and other internal and external stakeholders 
•    Leading the AGM and other shareholder meetings
•    Managing the director induction processes and maintaining director induction, training and conflict registers
•    Lead on corporate projects, such as legal entity rationalisation
•    Monitoring, and where necessary improving, the corporate governance arrangements for the Group
•    Liaising with other departments as required to provide company secretary support, such as on M&A
•    Supporting and mentoring other members of the team
•    Deputising for the Deputy Company Secretary where required.


Key skills & qualifications:


•    CGI qualified (essential)
•    At least 8 years’ experience in a company secretarial role
•    Good understanding of the corporate governance and regulatory requirements of a listed organisation
•    Excellent attention to detail and highly organised
•    Ability to build relationships with key stakeholders
•    Prior line management or mentoring experience (desirable)
